Terms of Use

Important notice. These Terms of Use govern your use of the LII website at lii.institute. Commercial engagements with LII — including certification, accreditation, and employer agreements — are governed by the LII Standard Terms of Business, a summary of which is set out in Part B below. By using this website or engaging LII's services, you agree to the applicable terms.

Part A — Website Terms of Use

1. Use of This Website

The LII website at lii.institute is operated by Leadership Impact Institute. By accessing or using this website, you agree to these Terms of Use. If you do not agree, you must not use this website.

You may access the website for your personal, non-commercial use. You must not:

  • Use the website for any unlawful purpose or in any way that infringes LII's rights or the rights of third parties
  • Reproduce, distribute, modify, or republish any content from this website without LII's prior written consent
  • Attempt to gain unauthorised access to any part of this website or its underlying systems
  • Use automated tools to scrape, copy, or index content from this website
  • Misrepresent your identity or affiliation with LII

2. Intellectual Property

All content on this website — including text, graphics, logos, certification frameworks, assessment methodologies, designations (CLP, CEL, CTL, COL, CSL, CXL), membership tier names (ALII, MLII, SLII, FLII), and brand assets — is the intellectual property of Leadership Impact Institute and is protected by copyright, trademark, and related rights.

LII's name, logo, certification codes, and membership designations may not be used without LII's express written permission and compliance with the LII Brand Guidelines. Use of LII's marks to imply affiliation, endorsement, or certification status without an active LII engagement is strictly prohibited.

3. Accuracy and Completeness

LII endeavours to ensure that information on this website is accurate and current. However, LII does not warrant the completeness or accuracy of website content and reserves the right to change content at any time without notice. Nothing on this website constitutes professional, legal, financial, or career advice. Certification-related information on this website is provided for guidance only; the definitive position on any certification matter is set out in LII's published Assessment Specifications and candidate communications.

4. Third-Party Links

This website may contain links to third-party websites. These links are provided for convenience only. LII has no control over the content of linked sites and accepts no responsibility or liability for them. The presence of a link does not constitute LII's endorsement of the linked site or its operator.

5. Limitation of Liability — Website

To the maximum extent permitted by applicable law, LII excludes all warranties in connection with the website and its content. LII shall not be liable for any loss or damage arising from your use of or inability to use this website, including loss of data, business interruption, or indirect losses, even if LII has been advised of the possibility of such losses.

6. Governing Law — Website

These Website Terms of Use are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. Disputes are subject to the exclusive jurisdiction of the courts of Dubai.

Part B — Standard Terms of Business (Summary)

This section summarises LII's Standard Terms of Business that apply to all commercial engagements, including certification, accreditation, and employer agreements. The full Standard Terms of Business are available on request from certifications@lii.institute.

7. Scope of Services

LII will provide the agreed services in accordance with the relevant Service Specification or Statement of Work. Any changes to scope must be agreed in writing. LII is not a training provider. Services relate to certification, verification, accreditation, and associated advisory functions. Where delivery of preparatory content is required, this must be performed by an LII-licensed Delivery Partner.

8. Fees and Payment

Fees are as specified in the relevant Service Schedule or invoice. Invoices are payable within 30 calendar days of the invoice date. Late payments accrue interest at 8% per annum above the UAE Central Bank base rate. LII reserves the right to suspend services where payment is more than 30 days overdue. All fees are exclusive of applicable taxes.

9. Intellectual Property

LII retains all rights in its proprietary materials, methodologies, frameworks, assessment instruments, and brand assets. Clients are granted a limited, non-exclusive, non-transferable licence to use LII's IP solely for the purpose of the agreed services and for the duration of the engagement. Upon termination, all IP licences immediately cease. Clients must comply with the LII Brand Guidelines and Trademark and Brand Guidelines at all times.

10. Confidentiality

Both parties agree to hold all confidential information in strict confidence and not to disclose it to any third party without prior written consent. Confidentiality obligations survive termination for five (5) years. They do not apply to information that is publicly known through no breach of these Terms, independently developed, or required to be disclosed by law.

11. Limitation of Liability

LII's maximum aggregate liability shall not exceed the total fees paid by the client in the twelve (12) months preceding the event giving rise to the claim. LII shall not be liable for any indirect, consequential, special, or punitive damages. LII makes no warranty that certification will be achieved; LII's obligation is to assess submitted evidence fairly and consistently against published standards.

12. Termination

Either party may terminate by providing 30 days' written notice. Either party may terminate immediately for material breach unremedied within 14 days, insolvency, or fraud. On termination, all outstanding fees become due and all IP licences cease.

13. Dispute Resolution and Governing Law

Disputes are first addressed through good-faith negotiation between senior representatives within 20 working days of written notice. If unresolved, the parties proceed to non-binding mediation before arbitration. Unresolved disputes are determined by binding arbitration in Dubai, administered by the Dubai International Arbitration Centre (DIAC). Seat: Dubai. Language: English. These Terms are governed by the laws of the UAE and the Emirate of Dubai.

14. Brand Compliance

All commercial engagements with LII are subject to LII Brand Compliance obligations. The LII logo may not be altered, recoloured, or distorted. Third parties may not claim LII affiliation without active accreditation. Gold #C9A84C must not be approximated with yellow or amber substitutes. All partner materials must be submitted to LII for approval before publication. Breach of Brand Compliance constitutes a material breach and may result in immediate termination and/or legal action.
